1.1. The following terms, definitions and abbreviations are applied herein:

The Bank - Joint Stock Company "Mir Business Bank" (JSC "MB Bank"), its structural units, servicing Customers. Legal address: 36/1 Prechistenka Str., Khamovniki district, Moscow 119034 Universal banking license for banking transactions with funds in roubles and foreign currency (with the right to acquire deposits from individuals) and for acquiring into deposits and placement of precious metals No. 3396 dated 23.05.2018.

Agreement (Account Agreement) - means a bank account agreement entered into by the Parties in the form of the Client's joining the Rules in accordance with Article 428 of the Civil Code of the Russian Federation.

Reservation Agreement - means an agreement for the provision of a service for the reservation of a settlement account number for corporate Clients concluded by the Parties in the form of the Client joining the Reservation Rules in accordance with Article 428 of the Civil Code of the Russian Federation.

Legislation - legislation of the Russian Federation, including laws and regulations (including regulations of the Bank of Russia and other regulatory and supervisory authorities).

Application - an application for reservation of the Account/Accounts number in JSC "MB Bank", sent by the Client to the Bank by filling out the appropriate screen forms on the Website.

Customer - a legal entity, unincorporated foreign structure, sole proprietor, individual, registered as the sole entrepreneur, an individual, who is engaged in private activities according to the applicable legislation and signed the Reservation agreement with the Bank.

Account Number - an Account number, reserved for the Client in the Bank's software based on the Application, in the currency of the Russian Federation or foreign currency.

Transaction time - time, established by the Bank to service Customers, information of which is placed on information stands in the Bank’s offices and on the Bank’s web-site.

The Bank’s Office - the Bank's structural unit, executing conclusion of agreements, opening/ closing and service of the Customers’ accounts in accordance with the authorities, established by the Bank’s internal documents.

Rules - “Rules of corporate banking in JSC MB Bank”

Reservation rules - these Rules of reservation of the settlement account number for corporate clients in JSC "MB Bank."

Representative is a person that acts for the benefit or on behalf of the Customer, or at the expense of the Customer, authorized to do so under a power of attorney, agreement, regulation of a state authority or local government body, law, as well as the chief executive officer of the legal entity.

The RF - the Russian Federation.

The web-site - the Bank’s web-site: www.mbbru.ru

Parties - the Bank and the Customer (together or separately).

Account - a settlement/ bank account in the currency of the RF/ foreign currency, opened by the Bank to the Customer in accordance with the legislation of the RF, for making settlements in accordance with the legislation of the RF.

Tariffs - Fee tariffs for the services rendered to legal entities (except for banks and non-bank credit organizations)

Notice - a notice of the Bank containing information about the details of the reserved Account.

2.1. The Rules regulate the relationship between the Client and the Bank arising from the provision by the Bank of the service for reserving the Account Number.

The reservation agreement is an accession agreement, the terms of which are determined by the Bank in the Reservation Rules and Application (placed on the official web-site), accepted by the Client not otherwise than by joining the Rules in whole.

2.1.1. The Reservation Agreement shall be concluded in the form of the Client joining the Reservation Rules in whole and in full and shall be made by the Bank's acceptance (provision of the account details (Account Number) to the Client) of the Client's offer (filling in the Application on the Website and sending it to the Bank through the Website).

The Reservation Agreement is considered to be concluded, the rights and duties of the Parties under the Reservation Agreement appear from the date of its conclusion by the Parties. The fact of conclusion of the Reservation Agreement is sending a Notice to the Client to the email address specified in the Application.

The application, Notice together with Rules and Tariffs are the Agreement.

2.1.2. The Customer, who joined the Reservation Rules, takes on all the obligations, provided for by the Reservation Rules related to the Customers the same as the Bank takes on all the obligations, provided for by the Reservation Rules in relation to the Bank.

2.2. In order to familiarize the Clients with the provisions of the Reservation Rules and Tariffs, the Bank places them and their new versions on the Website 15 (fifteen) calendar days before the entry into force.

Publication of the Reservation Rules does not mean their mandatory distribution through the mass media. The time of familiarization of the Customers with published information is considered to be the time, starting from which the information is available for the Customers.

3.1. The Bank assumes the obligation to reserve the Account Number in accordance with the details specified in the Application and send the Notice to the e-mail address specified by the Client in the Application.

3.2. Account number to Resident Client is not subject to reservation, in respect of which:

• There is no information in Unified State Register of Legal Entities/ Unified State Register of Individual Entrepreneurs;
• The Unified State Register of Legal Entities/Unified State Register of Individual Entrepreneurs has a record of liquidation/termination of activities/exclusion from the register;
• The Unified State Register of Legal Entities/Unified State Register of Individual Entrepreneurs contains information on the inaccuracy of information;
• There are existing decisions of the tax/customs authority to suspend operations on previously opened accounts;
• Any of the bankruptcy procedures has been introduced;

3.3. Account number reservation service is free. When opening an Account the Client shall be charged a fee in accordance with the Tariffs.

3.4. The Account Number reservation service shall be performed by the Bank during the Operating Time.

Information on the service time shall be communicated to the Clients by posting on the Website.

3.5. The Bank shall once send a Notice or a refusal to reserve the Account Number to the email address specified by the Client in the Application:

• within 2 (two) hours from the date of registration of the Application on the Web-Site, made during the Operating Time;
• not later than 10.30 a.m. Moscow time of the next business day after registration of the Application on the web-site, made after the Operating Time.

3.6. The Account Number shall be reserved for a period of up to thirty (30) calendar days from the date of registration of the Application (in accordance with Article 191 of the Civil Code of the Russian Federation, the reservation period shall be calculated from the next day after the Notification on the reservation of the Account Number is sent to the Client). Within the specified time, the Client must provide a set of documents in accordance with the list of documents for opening a bank account posted on the Web-Site.

3.7. The Account shall be considered open subject to a positive result of the Bank's consideration of the documents submitted by the Client, the absence of prohibitions by the Law for concluding the Account Agreement as of the date of opening the Account.

3.8. If the Client fails to provide documents or refuses to enter into the Account Agreement within the period established in clause 3.6, the reservation of the Account Number shall be canceled.

3.9. During the reservation period of the Account Number, the Bank accepts non-cash funds for subsequent crediting with them the Client's Account, which will be opened in accordance with the Account Agreement. The Bank shall once notify the Client of the receipt of funds no later than the next business day after the Bank's correspondent account is credited with them, to the email address, specified in the Application.

3.10. The period of storage in the Bank of funds received by the Client does not exceed 5 (five) business days from the date of crediting the Bank's correspondent account with the specified funds. If the Account is not opened within the specified time, the Bank shall return the funds to the sender.

3.11. No more than one (1) Account Number in the currencies specified in the Application may be reserved for one Client.

3.12. The Bank shall have the right to refuse to reserve the Account Number to the Client without explanation.

3.13. The Bank has the right to refuse the Client to open an Account, as well as to change the Account number assigned to the Client when concluding the Account Agreement.

3.14. By sending an Application to the Bank, the Client confirms its consent to receive Notifications and information from the Bank via unsecured communication channels.

4.1. The parties bear responsibility for failure to carry out or inadequate accomplishment of the terms of the Reservation agreement, according to the legislation.

4.2. The Bank is not responsible for:

• the Client's mistakes when filling out the Application details.

4.3. The Bank is not responsible, if the information on amendment and/ or addition to the Reservation Rules and/ or Tariffs, published according to the procedure and periods, set by the Reservation Rules, was not received and/ or studied and/ or correctly explained by the Customer.

4.4. The Client shall be responsible for the accuracy of the information provided in the Application.

4.5. The parties are exempted from responsibility for partial or complete non-execution of the liabilities under the Reservation agreement in case of force majeure circumstances, i.e. such, which can neither be expected nor prevented by reasonable measures: natural disasters, accidents, fire, military operations, mass riots, illegal actions of the third parties and other. In case of the above mentioned circumstances the Parties shall inform each other no later than 7 (seven) calendar days from the date of such circumstances.

5.1. The Reservation Agreement shall come into force from the time of sending the Application by the Client and sending the Notification/Refusal by the Bank in accordance with clause 2.1.1. and shall be valid until the conclusion/refusal to conclude the Account Agreement, but not more than thirty (30) calendar days after the Bank sends the Notification on the reservation of the Account Number.

5.2. The Bank is entitled to amend (including to establish the new versions) the Rules and/ or Tariffs based on cl. 1, article 450 of the Civil Code of the RF.

5.3. Any amendments and/ or additions to the Reservation Rules and/ or Tariffs, including the approved by the Bank new version of the Reservation Rules, from the date of their entering into force equally spread to all the entities, which joined the Reservation Rules, including those, which had joined the reservation Rules until the date of entering in force of amendments and/ or additions.

If the Client does not agree with the amendments and/or additions made by the Bank to the Reservation Rules and/or Tariffs, the Client has the right not to conclude a Reservation Agreement.

6.1. Disputes and disagreement between the Parties, which can occur in the process of execution of the Reservation agreement, are solved via negotiations. This clause does not provide for an extrajudicial dispute resolution procedure.

The period for the Bank's reply to complaints under the Reservation agreement – no more than 30 calendar days.

6.2. If no agreement is reached, disputes shall be referred to the State Arbitration Court of Moscow, according to the law.

7.1. Concerning all the rest, which is not covered by Reservation Agreement, the Parties are guided by the law.

7.2. Reservation rules are executed in Russian and English. In case of discrepancies between texts in the English and Russian languages the text in Russian prevails in the Reservation Rules.
